This Services Agreement ("Agreement") is made as of the date of acceptance by you (“Client”) (the “Effective Date”) by and between Client and SVB Financial Group, a Delaware corporation having a place of business at 3003 Tasman Drive, Santa Clara, California 95054 ("SVB”). Client and SVB shall be singly known as a “Party” or collectively known as “Parties”.

WHEREAS, Client desires and to retain SVB to provide, and SVB desires to provide, certain job listing services, as described herein (the “Services”); andWHEREAS, the Parties desire to enter into an Agreement that shall apply to and govern the provision of the Services to Client by SVB;NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows:

1.0 Definitions

a) “Affiliate(s)” means any entity, whether incorporated or not, that is controlled by or under common control with SVB and its successors, and "control" (or variants of it) shall mean the ability whether directly or indirectly to direct the affairs of another by means of ownership, contract or otherwise.

b) “Client Content” means the Licensed Marks (as defined below), Client’s business description, Client’s job listings and any other information or content provided by Client, or sourced by SVB or its agents from Client’s publicly-available Internet postings, for display on the Job Board (as defined below).

c) "SVB Content" means all Intellectual Property Rights with respect to the Services that is not Client Content, including, but not limited to, software, computer programs, scripts, applets, procedures, improvements, and other materials related to SVB’s website and the Job Board (as defined below).

d) “Intellectual Property Rights” means all intellectual and industrial property rights, whether now existing or existing in the future, including without limitation, (i) all patent rights, including any rights in pending patent applications and any related rights; (ii) all copyrights and other related rights throughout the world in works of authorship, including all registrations and applications therefor; (iii) all trademarks, service marks, trade dress or other proprietary trade designations, including all registrations and applications therefor (iv) all rights throughout the world to proprietary know-how, trade secrets and other confidential information, whether arising by law or pursuant to any contractual obligation of non-disclosure; and (v) all other rights covering industrial or intellectual property recognized in any jurisdiction.

e) “Licensed Marks” means the following marks: Client’s name, trade name and logo.

2.0 Services

a) Services. SVB shall display Client’s currently-available job listings on a webpage hosted on SVB’s website (the “Job Board”). Client shall provide to SVB such job listings, and/or SVB or its agents shall source such job listings from Client’s publicly-available Internet postings. Client shall also provide to SVB Client’s logo and business description for display on the Job Board. The Parties shall work together in a joint effort to accomplish the Services. Each Party shall use its reasonable efforts to accomplish the tasks assigned to it in this Agreement, and to cooperate with and support the other Party’s performance of the tasks assigned to it, on a timely basis and in a professional manner, subject to receipt of all necessary and appropriate cooperation and support from the other Party. SVB shall be responsible for performing only those Services specifically identified in this Agreement.

b) Client Content. Client owns and shall retain all right, title, and interest, including, without limitation, all Intellectual Property Rights, in and to the Client Content. SVB shall have only those rights in and to the Client Content as are expressly granted to it pursuant to this Agreement.

c) License Grant. Client is the sole and exclusive owner of the Client Content. Subject to the terms and conditions of this Agreement, Client hereby grants to SVB during the Term a non-exclusive, non-transferable, non-sublicensable right and license to display the Client Content, including, without limitation, the Licensed Marks, on the Job Board.

d) SVB Content. SVB or its contractors own and shall retain all right, title, and interest, including, without limitation, all Intellectual Property Rights, in and to the SVB Content. Client shall have no rights in or to the SVB Content.

e) No Publicity. During the Term of this Agreement and at all times after the termination or expiration of this Agreement, Client shall not make any media release or other public announcement relating to or referring to this Agreement without SVB’s prior written consent. Client shall acquire no right to use, and shall not use, without SVB’s prior written consent, the terms or existence of this Agreement, the names, trade names, trademarks, service marks, artwork, designs, or copyrighted materials, of SVB, its related or subsidiary companies, parent, employees, directors, shareholders, assigns, successors or clients: (a) in any advertising, publicity, press release, vendor list, presentation or promotion; (b) to express or to imply any endorsement of Client; or (c) in any manner other than expressly in accordance with this Agreement.

3.0 Term and Termination

a) Term. This Agreement shall be effective as the Effective Date, and shall continue in effect for a period of one (1) year. Thereafter, this Agreement will automatically renew for successive one (1) year terms (“Term”). For the avoidance of doubt, the “Term” of this Agreement shall mean the period of time beginning on the Effective Date and shall include any subsequent renewal periods and/or extensions thereof.

b) Termination for Convenience. Each Party has the right to terminate this Agreement for convenience immediately upon notice to the other Party.

4.0 Fees

a) Fees. There are no fees or costs to be paid by Client under this Agreement. SVB is solely responsible for all expenses incurred by or on behalf of SVB, including its personnel and permitted subcontractors, in connection with this Agreement.

5.0 Indemnification

a) Client Indemnity. Client hereby agrees to defend, indemnify, and hold harmless SVB, its Affiliates, and their respective partners, employees, agents and assigns, from and against any and all third party claims, demands, damages, losses, costs and expenses (including reasonable attorneys’ fees), settlements and awards arising from or relating to (i) any claim or allegation that any Client Content infringes upon any patent, copyright, or trademark or involves the misappropriation of a trade secret, intellectual property right or other proprietary asset of a third party; (ii) any claim or allegation relating to the content, accuracy, completeness, legality, reliability or availability of any Client Content, including any job listing; or (iii) the grossly negligent acts or omissions or willful misconduct of Client, its personnel or its contractors. In all cases in which SVB seeks indemnification and/or defense hereunder, SVB shall provide Client: (a) prompt written notice of any such claim or threatened claim; (b) reasonable cooperation and assistance to Client in connection with such claims, at Client’s sole expense, and (c) full control of the defense, negotiations and settlement of such claim; provided, that settlements shall require prior approval by SVB.

b) Sole Remedy. The provisions of this section set forth each Party’s sole and exclusive obligations, and the other Party’s sole and exclusive remedies, with respect to infringement of intellectual property rights of any kind.

6.0 Limitation of Liability

EXCEPT FOR THE INDEMNITY OBLIGATIONS UNDER THIS AGREEMENT, (A) IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSS OR DAMAGES ARISING FROM OR CONNECTED WITH THIS AGREEMENT, WHETHER OR NOT THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES; AND (B) EACH PARTY’S AGGREGATE LIABILITY TO THE OTHER PARTY IN ANY CAUSE OF ACTION BASED ON CONTRACT, TORT OR OTHERWISE IN CONNECTION WITH ANY SERVICES FURNISHED PURSUANT TO THIS AGREEMENT SHALL BE LIMITED TO $200.

7.0 Representations and Warranties

a) Mutual Representations and Warranties. Each Party represents and warrants that (a) it has full right, power and authority to enter into and perform its obligations under this Agreement without the consent of any third party and (b) the individual executing this Agreement on its behalf is duly authorized to do so.

b) Disclaimer. EXCEPT FOR THE EXPRESS WARRANTIES MADE HEREIN, NEITHER PARTY MAKES AND EACH PARTY HEREBY DISCLAIMS ANY AND ALL OTHER REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, RELATING TO THE SERVICES OR THIS AGREEMENT. SVB SPECIFICALLY DISCLAIMS AND EXCLUDES ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY AND ALL WARRANTIES ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE.

8.0 General

a) Entire Agreement. This Agreement contains the entire agreement between the Parties with respect to the subject matter hereof, and supersedes all prior proposals, understandings, representations, warranties, covenants, and any other communications (whether written or oral) between the Parties relating thereto. Only a written instrument that refers to this Agreement and is duly signed by both authorized representatives of both Parties may amend this Agreement.

b) Assignment. This Agreement shall be binding upon, inure to the benefit of and be enforceable by and against the respective legal representatives, successors, and assigns of Client and SVB.

c) Relationship of the Parties. SVB is an independent contractor, and nothing in this Agreement shall be construed as making the Parties partners or as creating the relationships of employer and employee, master and servant, or principal and agent between them, for any purpose whatsoever. Neither Party shall make any contracts, warranties or representations or assume or create any other obligations, express or implied, in the other Party's name or on its behalf.

d) Dispute Resolution. The Parties agree that, in the event of a dispute or alleged breach, the Parties will work together in good faith to resolve the matter internally by escalating it to higher levels of management and, if necessary, to use a mutually agreed upon alternative dispute resolution mechanism prior to resorting to litigation.

e) Compliance with Laws. SVB agrees and acknowledges that it is in compliance with all federal, state and local laws, regulations and standards applicable to the provision of the Services. SVB, its employees, agents, contractors or other third party personnel shall comply at all times with all laws and regulations applicable to the provision of the Services of any jurisdiction in which SVB operates. In addition, SVB represents and warrants that it is aware of, understands and has complied and will comply with modern slavery laws, including without limitation, the UK Modern Slavery Act.

f) Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to (i) its conflict of law provisions, and (ii) the applicability, if any, of the United Nations Convention on Contracts for the International Sale of Goods. Each Party consents to, and agrees that each Party is subject to, the exclusive jurisdiction of the state and federal courts of Santa Clara County, California, with respect to any actions for enforcement of or breach of this Agreement.

g) Waiver and Severability. The waiver or failure of either Party to exercise in any respect any right provided for in this Agreement shall not be deemed a waiver of the subject right or any further right under this Agreement. If any provision of this Agreement or the application thereof to any Party or circumstances shall be declared void, illegal or unenforceable, the remainder of this Agreement shall be valid and enforceable to the extent permitted by applicable law. In such event, the Parties shall use their best efforts to replace the invalid or unenforceable provision with a provision that, to the extent permitted by applicable law, achieves the purposes intended under the invalid or unenforceable provision.

h) Expiration and Survivability. This Agreement shall expire at the end of the Term set forth above, unless it is earlier terminated or extended. With respect to the subject matter of this Agreement, the Parties' rights and obligations that, by their terms or their nature, would reasonably be expected to survive expiration or termination of this Agreement, shall survive such expiration or termination.

i) Electronic Signatures. Either party may execute this Agreement by electronic means and each party hereto recognizes and accepts the use of electronic signatures and records by any other party hereto in connection with the execution and storage hereof.
